I have a consulting business in Pennsylvalia. Can I do consulting with a New Jersey business without any New Jersey registration?
I have a S-Corp in washington state where I live but reactivated my contractor license in California as a sole prop. Should I incorporate in California or use my Washington one? Or leave it as it is? As I will only be doing business a few times a year. On my personal taxes, last year I made basically nothing.
We are incorporated in the state of CA. We distribute fertilizer products directly to farmers in CA, but have a friend interested in selling our products to their customer base in MI. Our friend in MI would operate as and Independent Business Owner and purchase the products from us and resell them. I'm thinking that it's not necessary to file for authority to do business in Michigan, am I correct?
We incorporated in DE and are registered as a foreign corporation in FL. We have three employees, all of which are employed via an employee leasing agency (so the FEIN on their W2 is the employee leasing company). Each employee works from home with one in FL, one in NY and one in IL.
Do we need to register as a foreign corp in NY and IL? Also sales tax in each?
Can we operate in NJ with a corp. in Nevada?
Some friends and I have started a group to develop software to be distributed exclusively over the internet - no physical media will be stocked unless we use a publisher. I live in Florida and there are members living in Minnesota, Oregon, Georgia, and Ohio. Do I have to register (not incorporate) the LLC with each state where employees would exist (for income tax purposes) or do I have to register in all 50 states since we would theoretically sell to all states? I'm not exactly sure how it works with it being a fully internet-based business with no "offices". Do I have to obtain a license to do business in all 50 states if it's an internet business? Seems rather cumbersome (and expensive) if that's the case.
I'm forming an LLC with a partner in Georgia (I'm in CA). If we hire, it'll likely be in CA. Does incorporating in GA make any sense? Also, does our bank account have to be in the same state we for LLC in?
I live in NY and plan to open an online uniform store. The merchandise will be drop-shipped by an NY-based wholesaler. Can i register my business (LLC or S-corp) in Delaware and not have to collect sales tax? thanks
Can we add our CA property to a NV LLC?
I reside in Georgia, however would like to register my corporation in Delaware due to lower costs...will I be assessed any fees from Georgia?
I reside in California but want to purchase rental property in Illinois. First, can the LLC be organized in IL to avoid paying the annual franchise tax fee of $800 in CA? Second, after I create an LLC in IL, and post purchase(s) of property in IL I assume that the rental income passes through to me if I am the only owner? Meaning I would claim the rental profit & depreciation on my yearly personal taxes? Do I need to notify California regarding the property income? 3) bank that makes all mortgage payments is in IL, however I reside in CA do I still owe a foreign entity tax of $800/year? Thanks again!
Hi,
My 2 partners and I want to form a Delaware member-managed LLC but operated in California. However one partner does not want this information known publicly. I understand Delaware LLC offers member privacy. When we register our Delaware LLC as a foreign business in California, will that partner's membership be known publicly?
Thanks.
Can I form A Company LLC in NV even though I live in WA.
I run a company incorporated in Florida. We will be hiring people in different states soon to service some of our clients in those states on a 3 to 6 month contract. What should I do as far as registering with those states?
I wish to start a business that will be involved with purchasing and selling expensive movable property, i.e. recreational vehicles.
What, if any, benefits may be had from creating two LLCs in this manner? Is it possible to purchase the vehicles using the New Hampshire LLC, therefore avoiding sales tax, but sell and subsequently report the income tax with the managing Wyoming LLC?
We reside in California but want to purchase rental property in Nevada. First, can the LLC be organized in NV to avoid paying the annual franchise tax fee of $800 in CA? Second, if we are able to create the LLC in NV, do we file income taxes in both Nevada and California regarding the property income? Does the Nevada LLC require any presence in CA (need to be registered in any way there also)?
What steps are required to set up an LLC in NJ for a business located in California. What fees are involved.
We are an insurance brokerage with a physical office in Colorado only. Do we need to foreign register in each state?
I have a Delaware LLC that ownes 8 properties in California. If I change to a California LLC it would be more trouble to manage and give reports and more fees. What are the benefits changing to a CA LLC?
I live in illinois but am thinking about inc. in Wyoming. The main reason is to escape paying income taxes to this corrupt state. Is this legal and would I really save that much money?
I'm forming an LLC in NJ and will conduct my consulting services in NYC. I have no physical location for my business but the LLC will be registered where i live but as my clients will all be based in New York do i need to file paper work to register as a foreign entity? The only office will be located in NJ.
I am forming a new LLC but I live in Illinois which is notoriously not small-biz friendly. My LLC will operate a news website and will not sell any tangible goods. Because this is a start up I want to boot-strap the entity by forming a Delaware LLC. Is this a good course of action? I have no employees. Do I still have to pay taxes on income in Illinois?
I incorporated in Utah. My business is an internet business where I sell access to digital information, so I sell no tangible goods. If I do not have an office in any other state, do I need to incorporate or Foreign Qualify in other states?
Respected sir,
When I register my business, do i need to put business address of Delaware or I can include business address of anywhere, because we will operate the business in Texas, so, can I include the address in Delaware registration or do i have to put business address of Delaware and can run the business from Texas?
What are the pros and cons to register a LLC in Delaware and operate the business in California? Or is it better to incorporate in California if the business is located there? Many thanks, Bob
I have an Ontario Corporation in Ontario, Canada. I am going to be doing IT Consulting in Wisconson and Illinois starting next week. Is it necessary to register my business there as a foreign entity in both states. Or, is this optional?
I an not ready to do business yet, and it may be well over one year before I am ready to use my LLC.
Question: As far as my WY LLC registration is concerned, is there a time limit for Registering a Foreign Entity in my state?
We want to form an LLC in DE with future plans to have office (physical) in CA. I know we have to apply for foreign qualification in CA once we have that office and pay $800 franchise tax as minimum and additional minimum tax @ 8.84% if revenue exceeds 250,000.
I need to know whether this additional tax will be on CA sourced income i.e sales from CA customers or all the sales made by our CA office which will include other states as well.
Fyi..we have plans to make internet sales all over the US
I opened a corporation in Delaware, but I have my business in Texas.
Do I have to incorporate in Texas? If yes then how much would that cost?
If you have a NV LLC with a bank account in CA does this mean I'm liable for CA state taxes?
