    I have a S-Corp in washington state where I live but reactivated my contractor license in California as a sole prop. Should I incorporate in California or use my Washington one? Or leave it as it is? As I will only be doing business a few times a year. On my personal taxes, last year I made basically nothing.

  3. Foreign Entity

    We are incorporated in the state of CA. We distribute fertilizer products directly to farmers in CA, but have a friend interested in selling our products to their customer base in MI. Our friend in MI would operate as and Independent Business Owner and purchase the products from us and resell them. I'm thinking that it's not necessary to file for authority to do business in Michigan, am I correct?

  4. Foreign registration when using an employee leasing company

    We incorporated in DE and are registered as a foreign corporation in FL. We have three employees, all of which are employed via an employee leasing agency (so the FEIN on their W2 is the employee leasing company). Each employee works from home with one in FL, one in NY and one in IL.
    Do we need to register as a foreign corp in NY and IL? Also sales tax in each?

  6. Fully internet-based business: where do I register and why?

    Some friends and I have started a group to develop software to be distributed exclusively over the internet - no physical media will be stocked unless we use a publisher. I live in Florida and there are members living in Minnesota, Oregon, Georgia, and Ohio. Do I have to register (not incorporate) the LLC with each state where employees would exist (for income tax purposes) or do I have to register in all 50 states since we would theoretically sell to all states? I'm not exactly sure how it works with it being a fully internet-based business with no "offices". Do I have to obtain a license to do business in all 50 states if it's an internet business? Seems rather cumbersome (and expensive) if that's the case.

    I reside in California but want to purchase rental property in Illinois. First, can the LLC be organized in IL to avoid paying the annual franchise tax fee of $800 in CA? Second, after I create an LLC in IL, and post purchase(s) of property in IL I assume that the rental income passes through to me if I am the only owner? Meaning I would claim the rental profit & depreciation on my yearly personal taxes? Do I need to notify California regarding the property income? 3) bank that makes all mortgage payments is in IL, however I reside in CA do I still owe a foreign entity tax of $800/year?     My 2 partners and I want to form a Delaware member-managed LLC but operated in California. However one partner does not want this information known publicly. I understand Delaware LLC offers member privacy. When we register our Delaware LLC as a foreign business in California, will that partner's membership be known publicly?

    I wish to start a business that will be involved with purchasing and selling expensive movable property, i.e. recreational vehicles.

    What, if any, benefits may be had from creating two LLCs in this manner? Is it possible to purchase the vehicles using the New Hampshire LLC, therefore avoiding sales tax, but sell and subsequently report the income tax with the managing Wyoming LLC?

    I am forming a new LLC but I live in Illinois which is notoriously not small-biz friendly. My LLC will operate a news website and will not sell any tangible goods.   28. State Taxes in CA for Delaware LLC

    We want to form an LLC in DE with future plans to have office (physical) in CA. I know we have to apply for foreign qualification in CA once we have that office and pay $800 franchise tax as minimum and additional minimum tax @ 8.84% if revenue exceeds 250,000.

    I need to know whether this additional tax will be on CA sourced income i.e sales from CA customers or all the sales made by our CA office which will include other states as well.

    Fyi..we have plans to make internet sales all over the US
