  5. The structure of the company mostly selling service to a foreign country

I'm a green card holder and I want to form a company which mostly sells service to a foreign country (in Asia). I only want a legal entity (if that's the term for it) from which I can be eligible to sign contract with my foreign clients. So which structure is the best for me? LLC or sole proprietor? Also, I live in NYC but I heard that Delaware is very famous for being business-friendly. Is it possible to form my company remotely in Delaware? Thanks a lot in advance.

    Hello,

My two friends and I are thinking of doing an import/export business between China and US. They are both Chinese citizen, and I'm an US citizen and live in CA. My questions are:
    1) Which company formation is the best for this type of business? Is LLC the only option since S-Corp requires all owners to be US citizen/residents?
    2) If so, which state would be best to register our company?
    3) Do my friends need to file taxes if our business makes a profit even though they are not US citizen?

    Thanks a lot,

  29. LLC creation with L1 Visa and B1 Visa

A partner and I want to start an online business in the US. I'm currently on an L1 Visa, but he lives abroad. Is there any restriction for us to create an LLC? I Know I can't work for the company, but I'm the one with the ideas. Therefore he will be the manager and I just will be the partner. Also he has a B1/B2 Visa, so does he need to change it when he comes to do business/managerial stuffs or it doesn't matter?

About where to create the company, I'm in TX and the warehouse will be there also, so it might be convenient to have it there, but I've read your comments about WY. So where would be better to open the LLC?.

Thanks for you support! Looking forward to start the process with you.

  30. Forming an LLC and thinking of creating a DBA under it...

My wife and I and one of her girlfriends are going to start a case management agency and the route I have been introducing them to is to form an LLC. We are also wanting to open up other centers in other cities as well, and were thinking of establishing DBA's because some services would be different, but are cautions about the loss of liability protection in doing a DBA. I hope that I am asking this correctly but are DBA not protected at all if they are entities of an LLC?
