    I am Indian citizen and visiting USA on B1/B2 visa, wish to form a Trading and Services Co. (LLC). Trading involves USA / European manufactured parts and units for Industrial and marine applications. These parts may be sold in any part of the USA or even other parts of world like India, UAE, OMAN etc. The Services will be for providing Engineering Drawings to American companies from Indian counterparts located in India.
    I live in California with my Son's family who is Green Crad holder and works in American company. My question: is LLC company okay for this business, where my 4 family members will be directors, and if California is okay to register company? Do I need to have Sellers permit as well as Import / export license?

  2. Yet Another European business / US Branch question

    I am a US resident. A European (Italian) consulting company, that is interested in my services, wants to expand with a branch office in the US. They also want me to participate as a partner in the US branch. The US branch would not be able to directly generate revenue for one-two years, but basically act as a support to the other business' core activities. For this reason, I, and other US employees that I envision hiring, should be supported with a stipend. The funds for this stipend come from the revenue generated are all billed in Europe.
    Given all these caveats, what is the best approach to form a US branch?

  3. Using SSN for EIN, but does not live in the States

    Hi, I have registered for a LLC in Wyoming, but need to apply for an EIN to do business, I have a SSN a long time ago when I was still in college. Can I use that to register for an EIN? (but I don't live in the state or have any working visa) or should I apply for an EIN without SSN and register for a ITIN instead?

  4. Tax implication for Canadian owning a LLC

    I have a Canadian company doing e-commerce business to the States. My operation is in Canada but my customer base is located in US. My customers experience problem when they pay by debit card because their banks do not let their payment go through because my merchant account is a Canadian one. To solve this problem I need to be a US merchant. To qualify as a US Merchant, it requires a FID#. I read about registering a LLC in Wyoming to obtain a FID # or EIN. What is the tax implication? Can I sell my products at sell price to my LLC in Wyoming to have zero profit. Does it raise any legal problem? Will this practice be acceptable in respect of Federal Tax? Any suggestion as how to get a FID / EIN #?

    We are European based company, selling customized dental appliances (mouth guards, retainers, removable veneers), and we are planning to expand our business to USA market. We are concerned about sending this type of product to perspective customers in USA directly and have some customs problem. Is it possible to send our products directly to our web customers located in USA, or should we form LLC in WY, to serve as intermediate between our company (lab) and USA customers? To be able to make customized appliances, we send impression kit to our customers, they have to send us tooth impressions, and we send back to them final product. Products are in range between 150 - 300 USD.

    I am a US citizen residing in Nicaragua and will be forming an LLC in New Jersey. I have 2 major questions that hopefully you can help me with.

    1. I've been looking at some of the questions asked when applying for an EIN online and looking at some of the questions when filling out the NJ tax employer registration online and they ask what the "physical business location" is. I will not have a "physical business location." If i don't have a physical business location, what address do I use? The registered agents address?

    2. There will be 2 members. One of them is not a US citizen. Can I have a non-us citizen be a member of the LLC?

    Good Morning,
    I'm non US resident alien and want to form an LLC in Wyoming offering business services on-line. No pysical presence, office, servers, or employees in the US. What's more, I will pay my personal taxes in my country.
    1. Does my LLC have to apply for an EIN or any other number to IRS? If not, maybe it's anyway worth having EIN?

I know I will lose money the first few years and that this can be deducted from my tax obligation (in the US) but my salary overseas is low enough that I do not need to pay US taxes.   22. Forming an LLC in Delaware or California?

    1) I am a california resident since last 6 years, so I would like to form a California LLC (ecommerce company) and Open a business bank account in California itself.
    2) but the major operations like shipping, order processing will be done from india. Basically I will be selling indian products (clothes, shoes, jewelry) to all over the world including USA.

    In this case,

    1) Can I use my US address (home) and identification number for registering the LLC or I don't need to produce any US address or identication number to form an LLC ?
    2) Can I open a business bank account in India iteself?
    3) Can I open the LLC in Delaware instead of California LLC?
